License
The following licence agreement (“Agreement”) sets forth the terms and conditions for the use of premium stock photos images (“Images”) provided by 3D Stock Photos (“Provider”).
License Grant
Provider hereby grants to the licensee a non-exclusive, non-transferable licence to use the Images for commercial and non-commercial purposes, subject to the terms and conditions of this Agreement. The licence is limited to the specific use, medium, and territory set forth in the invoice or order confirmation provided by the Provider.
Permitted Uses
The Images may be used for various purposes, including but not limited to advertising, promotional materials, websites, social media, print and electronic publications, and other forms of media. The licensee may also modify, crop, or manipulate the Images as necessary to fit the intended use, provided that such use does not violate any laws or infringe on any third-party rights.
Restrictions
The Images may not be resold or distributed as standalone files, or used in any manner that could be considered defamatory, pornographic, or discriminatory. The licensee may not use the Images for any illegal or immoral purposes or in a way that implies endorsement, affiliation, or sponsorship of any product, service, or entity.
Ownership and Copyright
Provider retains all ownership and copyright of the Images, and the licensee may not claim any ownership or copyright of the Images, modified or unmodified. The licensee may not sell, assign, sublicense, or transfer any rights to the Images or this Agreement without the prior written consent of the Provider.
Warranty and Liability
Provider warrants that it has the right to grant the licence to the Images and that the Images do not infringe on any third-party rights. The Images are provided “as is” and without any warranty, express or implied, including but not limited to the implied warranties of merchantability and fitness for a particular purpose. In no event shall Provider be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with the use or inability to use the Images.
Termination
The licence granted under this Agreement may be terminated by the Provider at any time upon notice to the licensee if the licensee breaches any of the terms and conditions of this Agreement. Upon termination, the licensee must immediately cease using the Images and delete or destroy any copies of the Images in its possession.
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction where the Provider is located, without giving effect to any choice of law or conflict of law provisions.
Entire Agreement
This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous understandings or agreements, whether written or oral.
By downloading, accessing, or using the Images, the licensee agrees to be bound by the terms and conditions of this Agreement.
